GENERAL TERMS AND CONDITIONS OF THE KIERO+ AGENT PROGRAM

Thank you for joining the Kiero+ agent program. This program allows you to generate income by onboarding merchants and building an agent network. We value your effort and transparency, which is why these terms govern our contractual relationship.

  1. INTRODUCTION.

Access to and use of the Kiero+ agent program (hereinafter “The Program”) confers the status of agent (hereinafter “The Agent”) and implies full acceptance of these contractual terms. If you do not agree with all or part of these terms, The Agent must refrain from registering and using The Program.

By accepting these Contractual Terms, The Agent declares:

  • That they have read, understand and comprehend the terms set forth herein.
  • That they assume all obligations set forth herein.
  • That they are of legal age and have sufficient legal capacity to participate in The Program.
  • That they act as a professional, self-employed individual, business owner or legal entity, and not as an end consumer.
  1. PROGRAM OWNER.

The owner of the Kiero+ agent program is KieroPlus, LLC, a Delaware (USA) Limited Liability Company, email [email protected].

  1. NATURE OF THE RELATIONSHIP.

The relationship between KieroPlus and The Agent is that of independent business entities. Nothing in these terms constitutes an employment, partnership, franchise, joint venture, mandate or regulated commercial agency relationship. The Agent acts on their own behalf and assumes their own tax, labor and Social Security obligations, being solely responsible for their registration in the corresponding regime and compliance with their tax duties.

The Agent has no authority to represent, bind or obligate KieroPlus vis-à-vis third parties, or to act on behalf of KieroPlus unless expressly authorized in writing.

  1. AGENT REGISTRATION AND ENROLLMENT.

To access The Program, The Agent must download the Kiero+ Agentes application and register by providing truthful, complete and up-to-date information: name, email address, phone number and password. The Agent may optionally enter a referral code from an existing agent.

KieroPlus will verify the data and reserves the right to accept or reject registration applications without justification.

The assigned agent code is personal and non-transferable. The Agent is fully responsible for safeguarding their access credentials and for any activity carried out through their account.

The software use license is personal, limited, non-transferable and non-exclusive, and is conditioned upon the validity of this agreement.

  1. REFERRAL CODE AND AGENT NETWORK.

The Agent has a unique referral code that may be shared to invite new agents to The Program.

The agent network is structured in the following levels:

  • Direct agents (Level 1): Agents registered using The Agent’s referral code. The system automatically records the parent relationship.
  • Indirect agents (Level 2): Agents registered by The Agent’s direct agents.

The parent relationship is determined at the time of registration and is unalterable. No changes to the network structure are permitted once established.

KieroPlus reserves the right to investigate and annul fraudulent referral relationships, including self-referral, creation of fake accounts or any abusive practices.

  1. MERCHANT ACQUISITION.

The Agent may recruit merchants to join the Kiero+ platform. Each merchant will be linked to the Agent who recruited them, with the agent identifier recorded in the merchant’s document.

The Agent must act with diligence, honesty and transparency in merchant acquisition. The following are prohibited:

  • Making false or misleading statements about Kiero+ or its services.
  • Offering discounts, promotions or terms not expressly authorized by KieroPlus.
  • Recruiting merchants engaged in illegal or unregulated activities.
  • Using spam, harassment or misleading advertising techniques.

KieroPlus reserves the right to unlink a merchant from an agent and reassign their commission if the acquisition is found to be fraudulent or irregular.

  1. COMMISSION SYSTEM.

    7.1. Opening commission. For each recruited merchant who makes their first subscription payment, The Agent will receive an opening commission equal to 80% of the base subscription amount, upon which the percentage configured in the agent’s profile will be applied (default 100%), resulting in an effective commission of up to 80% of the base amount.

    7.2. Recurring commission. For each successive monthly billing cycle of an active linked merchant, The Agent will receive a recurring commission of 15% of the base subscription amount, for the period corresponding to their career level.

    7.3. Network bonuses. The Agent will receive bonuses from their network activity:

  • Direct bonus: 5% of the base amount of each commission generated by direct agents (Level 1).

  • Indirect bonus: 2% of the base amount of each commission generated by indirect agents (Level 2).

    7.4. Accrual and payment. Commissions accrue when the merchant pays their subscription to KieroPlus through the Stripe payment gateway. Commissions are credited to The Agent’s available balance on the platform.

For a commission to be valid, the merchant must be up-to-date with payment and must not have requested or obtained a full or partial refund. In the event of a refund to the merchant, the commission will be proportionally reversed.

7.5. Discount configuration. The Agent may offer discounts on the first subscription to merchants they recruit, within the range configured in their profile (0-80%). The discount will be applied to the first subscription amount and the opening commission will be calculated on the resulting amount.

  1. CAREER LEVELS.

The Program contemplates three career levels based on the number of active merchants linked to the agent:

The level is automatically recalculated each month based on the agent’s number of active merchants. Benefits of the new level will apply from the next monthly update.

The duration of the recurring commission is counted from the activation date of each individual merchant, not from the date of level change.

  1. FUNDS WITHDRAWAL.

The Agent may request withdrawal of their available balance when it equals or exceeds the minimum set in their profile (default €500), provided the following requirements are met:

  • Having a configured and verified bank account in the application with: bank name, account holder name, IBAN and SWIFT/BIC code.
  • Having no pending withdrawal requests in process.

The withdrawal process works as follows:

  • The Agent requests the withdrawal through the application.
  • The available balance is automatically deducted and a request is created with “pending” status.
  • KieroPlus will process the request and transfer the funds to the indicated bank account within a maximum of 15 business days.

KieroPlus reserves the right to reject a withdrawal request if there are suspicions of fraud, if the bank documentation is incomplete or incorrect, or if the agent is in breach of any of these terms.

  1. AGENT OBLIGATIONS.

The Agent undertakes to:

  • Comply with applicable tax and Social Security legislation, declaring and paying the corresponding taxes on commissions received.
  • Act in good faith and loyalty towards KieroPlus and other agents in the network.
  • Refrain from activities that may damage the image or reputation of KieroPlus.
  • Not use KieroPlus’s protected materials, brands, logos or content outside the authorized scope of The Program.
  • Not recruit merchants through deceptive methods, false promises or inaccurate information.
  • Maintain the confidentiality of KieroPlus’s commercial and strategic information to which they have access.
  • Not use The Program to carry out illegal or criminal activities.
  1. KIEROPLUS OBLIGATIONS.

KieroPlus undertakes to:

  • Maintain the functioning of the application and the commission recording system.
  • Process and pay accrued commissions in accordance with these terms.
  • Provide technical support and commercial materials to agents.
  • Guarantee the security of agents’ personal data in accordance with the Privacy Policy.

KieroPlus does not guarantee that the application will operate uninterrupted or error-free. The service may be temporarily suspended for maintenance, technical reasons or force majeure.

  1. INTELLECTUAL AND INDUSTRIAL PROPERTY.

KieroPlus owns all intellectual and industrial property rights over the Kiero+ application, the agent program, its brand, logos, commercial materials and any associated content.

The Agent acquires no property rights over such elements. Reproduction, distribution, public communication or modification of protected materials without KieroPlus’s express authorization is prohibited.

The agent code, invitations and referral links generated by The Agent are owned by KieroPlus and their use is limited to the scope of The Program.

  1. DATA PROTECTION.

KieroPlus will process The Agent’s personal data in accordance with its Privacy Policy, available at kieroplus.com/en/privacy-policy.

Data collected includes name, email, phone number, bank details and activity records within The Program. This data is used for Program management, commission calculation and payment, and communication of related information.

The Agent consents to the processing of their bank details for the purpose of commission payments. Full bank details are stored in a private subcollection with restricted access.

KieroPlus may share aggregate and non-personal information about agent performance for internal statistical or promotional purposes.

  1. TERM AND TERMINATION.

The contractual relationship is of indefinite duration. The Agent may cancel their account at any time from the application, without penalty or minimum commitment.

90 days after cancellation, all information and data of The Agent will be deleted, including unclaimed balances, without the possibility of recovery.

KieroPlus may unilaterally terminate the agreement and suspend or cancel access to The Program for the following reasons:

  • Breach of any of these terms.
  • Fraudulent, deceptive or abusive activity.
  • Damage to the reputation or image of KieroPlus.
  • Recruitment of merchants through unlawful methods.
  • Confirmed non-payment of previously disbursed commissions in the event of reversals.
  • Non-compliance with tax legislation.

In the event of termination due to a breach attributable to The Agent, pending or unpaid commissions may be withheld by KieroPlus as compensation.

  1. CHANGES TO THESE TERMS.

KieroPlus reserves the right to modify these terms at any time, notifying agents 15 days in advance through the application or by email.

Changes will not have retroactive effect. If The Agent does not accept the new terms, they may cancel their account before the modifications take effect. Continued use of The Program after the effective date will imply acceptance of the changes.

  1. DISCLAIMER AND LIMITATION OF LIABILITY.

KieroPlus shall not be liable for:

  • Damages arising from the use or inability to use The Program.
  • Loss of business opportunities or expected income.
  • Actions of merchants recruited by The Agent.
  • Disputes between agents in the network.
  • Technical failures, connectivity issues or third-party service disruptions.
  • Actions of The Agent that violate tax legislation.

KieroPlus’s total liability towards The Agent is limited to the total amount of commissions paid to The Agent during the two months prior to the event giving rise to liability, and in no event includes indirect damages or lost profits.

The Agent agrees to indemnify and hold KieroPlus harmless from any claim, penalty or expense arising from their breach of these terms.

  1. GOVERNING LAW AND JURISDICTION.

These terms are governed by the laws of the State of Delaware (United States of America). Any dispute arising in connection with the interpretation or application of these terms shall be submitted to the exclusive jurisdiction of the courts of the State of Delaware.

This jurisdiction clause does not affect the rights that The Agent may have as a consumer in their country of residence if they are acting as a consumer, although The Program is intended for professionals and business entities.

By accepting these terms, The Agent acknowledges and agrees:

  • That they have read, understand and fully accept these terms.
  • That the relationship with KieroPlus is that of an independent business entity.
  • That they assume all tax obligations arising from their participation in The Program.
  • That the commission, bonus and career level system is as described in these terms.
  • That the bank details provided are correct and up-to-date.
